3. Client Responsibilities
Clients agree to:
- Provide all necessary materials, content, and information required for the project in a timely manner.
- Review deliverables and provide feedback promptly to avoid delays.
- Confirm that they hold the necessary rights for any third-party content or materials they provide.
Clients are responsible for the final review and approval of all deliverables. DesignVault Studio is not liable for errors or omissions after final approval.
4. Payment Terms
- Payment terms are outlined in the project agreement. Generally, an initial deposit is required to commence work, with the remaining balance due upon project completion.
- Invoices are due upon receipt unless otherwise stated. Late payments may be subject to additional fees.
- DesignVault Studio reserves the right to halt work or withhold final deliverables if payments are overdue.
5. Intellectual Property
Upon full payment, DesignVault Studio transfers ownership of the final deliverables to the client, excluding any third-party stock materials, fonts, or resources that may be subject to their respective licenses. DesignVault Studio retains the right to showcase the work as part of its portfolio, unless agreed otherwise in writing.
6. Project Timeline and Revisions
- Project timelines will be outlined in the project agreement. Clients are responsible for meeting any review or approval deadlines to avoid project delays.
- Reasonable revisions are included in our services to ensure client satisfaction. Any additional revisions beyond the scope of the original agreement may incur additional charges.
7. Confidentiality
DesignVault Studio respects the confidentiality of our clients. All information and materials provided by the client during the project will be kept confidential and will not be shared with third parties without the client’s consent, except as required to complete the project.
8. Limitations of Liability
DesignVault Studio will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities. Our total liability is limited to the amount paid by the client for the specific project or service.
9. Termination of Services
Either party may terminate the project agreement with written notice. In the event of termination, the client is responsible for all work completed up to the termination date. DesignVault Studio will provide a final invoice, and all payments will be due upon receipt.
10. Amendments
DesignVault Studio reserves the right to modify or replace these Terms and Conditions at any time. Any changes will take effect immediately upon posting. Continued use of our services constitutes acceptance of any new or modified terms.
11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of United Kingdom. Any disputes will be resolved in accordance with the laws of this jurisdiction.
